1. What BridgesAgents is
BridgesAgents is a platform operated by Bridges Agents, CNPJ (Brazilian company registration number) 60.453.617/0001-94, headquartered at Rua Doutor Oliveira Botelho, 9, Sala 411, Parte 66, São Francisco, Niterói/RJ, CEP 24360-500 (“BridgesAgents”, “we”). It brings together the catalog of retail stores (products, prices, stock and how they serve customers) and makes it available to artificial intelligence assistants and agents and to system integrations, through protocols such as MCP and through an API.
By creating an account, accepting an invitation or using the API, you agree to these terms and to the privacy policy.
2. Who may use it
- Merchants and service providers: companies duly incorporated in their country (in Brazil, with an active CNPJ), represented by adults with authority to accept these terms on the company's behalf.
- Consumers: people who confirm an order through a link built by an AI agent. The purchase is made with the store, which is the supplier of the product or service.
- Developers and agents: anyone who queries the catalog through MCP or the API, within the usage limits described in section 7.
3. Account, users and access keys
- Whoever registers the company is its first administrator. Administrators invite other people and decide what each one can access; the company is responsible for the actions of the people it has given access to.
- Passwords and API keys are personal and confidential. If you suspect misuse, change your password, revoke the key in the dashboard and let us know.
- The administrator must deactivate the access of anyone who leaves the company.
4. Merchant's responsibility for its listings
The merchant is solely responsible for the information it sends to BridgesAgents, whether by spreadsheet, API, integrations or the dashboard, and must keep it accurate and up to date, in particular:
- products, prices, promotions, stock and barcodes;
- address, location, opening hours, pickup, delivery areas, fees and delivery times of each store;
- flagging products that require a prescription or have any other sales restriction, and complying with the rules of its industry (for example, those of Anvisa, the Brazilian health regulator, for pharmacies);
- offering only products that may lawfully be sold.
BridgesAgents points out incomplete listings and rejected items in the dashboard, but does not verify the accuracy of the information sent.
5. How we use the catalog
The merchant authorizes BridgesAgents to store, organize, compare with offers from other stores and make publicly available the catalog and store information to AI agents, integrations and people who query the platform, for as long as the account is active. Trademarks and content remain the property of their owners.
6. What BridgesAgents does not do
- BridgesAgents does not sell products and is not a party to the consumer relationship: the purchase takes place between the consumer and the merchant, who is responsible for it, including under the Brazilian Consumer Protection Code.
- AI agents belong to third parties and may interpret or present the information incorrectly. BridgesAgents does not guarantee sales volume or position in recommendations.
- Distance and service areas calculated from a CEP (Brazilian ZIP code) are approximate and are flagged as such.
7. Acceptable use
It is forbidden to:
- circumvent usage limits, authentication or any security measure;
- copy the catalog in bulk to build a competing database or resell the data;
- send content that is illegal, misleading or infringes the rights of third parties;
- use the platform to send spam or commit fraud.
We may limit, suspend or terminate access in case of a violation, with notice whenever possible.
8. Pricing, per-order fee and payouts
Plans and prices are shown under *Plan and billing* in the dashboard and in the documentation. Nothing is charged without prior consent: plan changes are requested by the admin, and the per-order fee only applies to companies whose admin accepted this version of the terms.
- Per-order fee (retailer): from November 29, 2026, each order the store accepts costs R$ 1.00, billed on the next BridgesAgents invoice. There is no fee during the free period, for orders accepted before these terms were accepted, or for orders declined or cancelled without acceptance. Order payment still goes straight between the consumer and the store: the fee pays for using the platform.
- Payout to the agent developer: 30% of the fee for each accepted order that came from an agent with a developer key belongs to the developer. It becomes available once the store pays the invoice that includes the fee and is paid by Pix at the start of the month, from R$ 20.00. To receive it, the developer enters the holder, CPF or CNPJ and Pix key (in the same holder's name) in the dashboard and accepts these terms. With a CNPJ, they issue a service invoice for each payout to BridgesAgents before payment; with a CPF, BridgesAgents makes the withholdings required by law and provides a statement. The R$ 0.30 per order is a gross amount: taxes and withholdings owed by the developer are deducted from it. Orders from assistants the consumer connected themselves, without a developer key, generate no payout.
- Data by contract: developer access to regions, orders, risk and contact depends on a contract and is billed on the monthly invoice by the plan matching the released fields, prorated by days, with a query allowance and overage. Current prices are in the dashboard.
Price changes are announced by email and in the dashboard at least 30 days in advance.
9. Orders, adjustments, after-sales and reputation
- Order adjustment: before the order is ready, the store may propose changing items (missing item, similar replacement, quantity, weight or price), with a reason. The consumer, or their AI assistant, approves or declines. With no answer in 3 hours, an adjustment that only reduces the order applies; anything else expires and the order stays as it was.
- After-sales: once the order is ready or completed, the consumer may open an issue within 30 days. The store answers within 48 hours with a solution (refund, replacement, return or a reasoned refusal). Refunds are made by the store, through its own payment method. If unresolved, the BridgesAgents team follows up with the store.
- Reputation: AI agents see, next to offers, a store score based on the last 90 days of orders (unanswered, store-cancelled, stalled, with issues, and ratings). The score does not change prices or remove the store from searches; at the same price, the more reliable store comes first.
- Records: carts, orders, histories, adjustments, issues and notices are kept for verification, in line with the privacy policy.
10. Availability and changes
We work to keep the platform available, but it may undergo maintenance and outages. We may change features and these terms; relevant changes will be announced in the dashboard or by email with reasonable advance notice, and continued use after that constitutes acceptance.
11. Termination
The merchant may close its account at any time through the contact below. Once the account is closed, the catalog is no longer made available; data is handled as described in the privacy policy.
12. Governing law and contact
These terms are governed by the laws of Brazil. The courts of Niterói/RJ (Brazil) are chosen as the venue, unless the law provides otherwise. If you use BridgesAgents from another country, you keep the mandatory protections of your local law (such as consumer and data protection rules), which prevail over these terms where they conflict.
